1. Introduction

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Services for your personal, non-commercial use.   • Your computer may temporarily store copies of such materials in RAM incidental to your accessing and viewing those materials.

  • Impersonate any person, or misrepresent your identity or affiliation with any person or organization.
  • Involve commercial activities or sales, such as contests, sweepstakes, and other sales promotions, barter, or advertising.
  • Give the impression that they emanate from or are endorsed by us or any other person or entity, if this is not the case.

5.2 License to User Contributions

By posting User Contributions on the Services, you grant us and our affiliates a non-exclusive, royalty-free, perpetual, irrevocable, and fully sublicensable right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, and display such User Contributions throughout the world in any media. You represent and warrant that:

  • You own or control all rights in and to the User Contributions or have the right to grant the license above.
  • All of your User Contributions do and will comply with these Terms.

5.3 Monitoring and Enforcement

We have the right to:

  • Remove or refuse to post any User Contributions for any or no reason.
  • Take any action with respect to any User Contribution that we deem necessary or appropriate in our sole discretion.

You agree to defend, indemnify, and hold harmless CanadaInvest, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Services, including, but not limited to, your User Contributions, any use of the Services' content, services, and products other than as expressly authorized in these Terms.

10. Modifications to the Services and Terms

We reserve the right to modify or discontinue, temporarily or permanently, the Services (or any part thereof) with or without notice. We shall not be liable to you or to any third party for any modification, suspension, or discontinuance of the Services.

We may revise and update these Terms from time to time in our sole discretion. All changes are effective immediately when we post them, and apply to all access to and use of the Services thereafter. Your continued use of the Services following the posting of revised Terms means that you accept and agree to the changes.

11. Governing Law and Jurisdiction

These Terms and any disputes relating to these Terms or the Services shall be governed by and construed in accordance with the laws of the United Kingdom, without regard to its conflict of law principles. You agree that any legal action or proceeding arising out of or relating to these Terms or the Services shall be brought exclusively in the courts located in the United Kingdom, and you hereby consent to the personal jurisdiction of such courts.

If any provision of these Terms is held to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect.

These Terms, together with our Privacy Policy, constitute the sole and entire agreement between you and CanadaInvest regarding the Services and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Services.
